Terms of Service

1. The Service
Autonomy Health, Inc. (“Autonomy,” “we,” “us”) provides a care coordination platform that helps families capture, organize, and share health information for the people they care for (the “Service”). Features include audio recording of medical visits, automated transcription, document storage, medication tracking, task assignment, and family messaging.
The Service is currently in beta. During the beta period, the Service is provided free of charge. Features may change, new features may be introduced, and existing features may be modified or removed. Beta users will receive a permanent discount when paid plans are introduced.
2. Eligibility
You must be at least 18 years old and able to form a legally binding contract under applicable law to use the Service. By registering an account, you represent that the information you provide is accurate and that you have the authority to agree to these Terms on your own behalf.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at security@autonomyhealth.app if you suspect any unauthorized access to your account. We are not liable for losses arising from unauthorized account use that is not promptly reported.
4. Recording Consent & Compliance
You agree to the following obligations when using any recording feature of the Service:
- All-party consent.You will obtain the express, informed consent of every participant in a conversation before initiating any recording, regardless of whether the jurisdiction requires single-party or all-party consent. Use of the Service’s guided consent flow does not relieve you of this obligation.
- User responsibility.You alone — not Autonomy — are the recording party. Autonomy provides the technical means to record, but the legal responsibility for the recording lies with you.
- Indemnification. You agree to indemnify and hold Autonomy harmless from any claim, loss, or liability arising from a recording you make through the Service, including claims by participants who allege they did not consent.
- Recap Mode. When the recording feature is unavailable or impractical, you may use the Recap Mode tool to enter notes manually. Recap Mode is a notes feature, not a recording feature, and the foregoing recording obligations do not apply to Recap Mode entries you create from memory after a conversation.
- Provider policies. You will respect any healthcare provider, facility, or institutional policy that prohibits or restricts recording, even where the law would otherwise permit it.
5. Non-Medical Disclaimer
You acknowledge that:
- Transcripts produced by the Service may contain errors, including misheard medication names, dosages, and clinical instructions.
- Visit summaries are generated automatically and may omit, misstate, or misinterpret information from the original conversation.
- Materials produced by the Service are not official medical records and should not be presented as such to providers, payers, or other parties.
- You are responsible for verifying any clinical information surfaced by the Service against authoritative sources before acting on it.
6. Acceptable Use
You agree not to:
- Use the Service in any manner that violates applicable law, including federal and state laws governing the recording of conversations.
- Record any person without their consent.
- Upload content that you do not have the right to upload, or that infringes another party’s intellectual property, privacy, or other rights.
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Use the Service to send spam, malware, or any harmful or harassing content.
- Use automated means to access, scrape, or interact with the Service without our written permission.
- Attempt to bypass any rate limit, security control, or feature limitation imposed by the Service.
- Use the Service to make medical decisions for any third party who has not authorized you to do so.
7. Intellectual Property
You retain all ownership of content you upload to or create within the Service, including audio recordings, transcripts, documents, and notes (“User Content”). You grant Autonomy a limited, non-exclusive, non-transferable license to host, process, transmit, and display your User Content solely for the purpose of providing the Service to you and your authorized family members. This license terminates when you delete the User Content or close your account.
If you provide feedback, suggestions, or feature requests to Autonomy (“Feedback”), you grant us a perpetual, worldwide, royalty-free license to use the Feedback for any purpose, without obligation or attribution.
8. Data Handling & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key commitments include:
- We do not sell or share your personal information for advertising or marketing.
- Audio recordings are automatically deleted fourteen (14) days after recording.
- No Autonomy employee listens to your recordings under normal operation.
- All data is encrypted in transit (TLS 1.2+) and at rest (AES-256).
9. Beta Service Disclaimer
10. Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AUTONOMY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT TRANSCRIPTS OR SUMMARIES WILL BE ACCURATE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTONOMY’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). IN NO EVENT WILL AUTONOMY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Autonomy, its officers, directors, employees, and agents from and against any claim, damage, obligation, loss, liability, cost, debt, or expense (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, including recording or wiretapping laws; (d) your violation of any third-party right, including any privacy or intellectual property right; or (e) any User Content you upload to or create within the Service.
12. Termination
By You. You may terminate your account at any time through account settings or by emailing privacy@autonomyhealth.app. Following termination, your data will be deleted in accordance with the timeline set out in our Privacy Policy.
By Autonomy.We may suspend or terminate your access to the Service at any time, with or without cause, with reasonable notice where practicable, and immediately for material violations of these Terms or for activity that endangers the safety, security, or integrity of the Service. Where notice is given for non-cause terminations, we will provide thirty (30) days’ notice.
Sections 7, 8, 10, 11, 12, 13, and 15 survive termination of these Terms.
13. Dispute Resolution
13.1 Informal Resolution
Before filing a claim against Autonomy, you agree to attempt to resolve the dispute informally by contacting us at legal@autonomyhealth.app. We will attempt to resolve the dispute by contacting you in writing within thirty (30) days. If we cannot resolve the dispute within that period, either party may proceed to formal dispute resolution.
13.2 Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. The federal and state courts located in Cook County, Illinois have exclusive jurisdiction over any matter not subject to arbitration under Section 13.3.
13.3 Arbitration
Any dispute arising out of or relating to these Terms or the Service that is not resolved informally under Section 13.1 will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will take place in Chicago, Illinois, or by video conference at the consumer’s election. The arbitrator’s decision will be final and binding. Class actions and class arbitrations are not permitted.
13.4 Exceptions
Notwithstanding Section 13.3, either party may seek injunctive or other equitable relief in court for the protection of intellectual property rights, the enforcement of the recording-consent obligations in Section 4, or to prevent unauthorized access to the Service.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least fourteen (14) days before the changes take effect. Your continued use of the Service after the effective date of the changes constitutes acceptance of the updated Terms.
15. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any additional agreements you enter into with Autonomy, constitute the entire agreement between you and Autonomy regarding the Service.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
Force Majeure. Neither party will be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or failures of internet service providers or other third-party infrastructure.
